Terms of service.

Welcome to MyCo. These Terms of Service ("Terms") govern your access to and use of the MyCo website (mycodigi.com) and the MyCo mobile app, including any content, functionality, and services offered through these platforms (collectively, the "Service"), operated by MyCo (16347088 Canada Inc.).

By accessing or using MyCo, you agree to comply with these Terms. Please read them carefully before using our services.

1. Acceptance of Terms

By creating an account or using the MyCo app or website, you accept and agree to these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the MyCo platform.

2. Eligibility

To use MyCo, you must:

- Be at least 18 years old, or have legal capacity to form a binding contract with the consent of a parent or guardian.

- Provide accurate and complete information when creating your account.

3. User Accounts

- Account Creation. To use MyCo, you must create an account and provide certain personal information, including but not limited to your name, email address, and other information you choose to include on your digital business card.

- Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect unauthorized use, notify us immediately at info@mycodigi.com.

4. Use of the MyCo App

- Permitted Use. MyCo is intended for individuals and small business owners to create, share, and manage digital business cards.

- Prohibited Activities. You agree not to:

- Use the platform for any illegal or unauthorized purpose.

- Interfere with or disrupt the integrity or performance of the app or its services.

- Attempt to gain unauthorized access to any portion of the platform or its systems.

- Impersonate others or misrepresent your affiliation with any entity.

- Upload malicious code, spam, or content that infringes on third-party rights.

- Reverse engineer, decompile, or attempt to derive the source code of the app, except to the extent expressly permitted by applicable law.

5. Content Ownership and Licensing

- Your Content. By creating and sharing digital business cards through MyCo, you grant us a non-exclusive, worldwide, royalty-free license to use, host, display, and distribute your content solely as necessary to provide the Service. You retain ownership of all intellectual property rights in your content.

- MyCo Content. All content - including logos, graphics, text, and software - provided by MyCo is the property of MyCo (16347088 Canada Inc.) or its licensors. You may not use, copy, or distribute any MyCo content without prior written permission.

6. Subscriptions and Payments

MyCo offers a free tier with basic features and paid auto-renewable subscription plans ("Premium") with additional features. Premium is available on a monthly or annual basis.

- Billing. Premium subscriptions are processed through the Apple App Store (via your Apple ID) on iOS and the Google Play Store (via your Google account) on Android. Payment will be charged to your Apple ID or Google account at confirmation of purchase.

- Auto-Renewal. Your subscription will automatically renew at the end of each billing period at the then-current price, unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

- Managing or Cancelling. You may manage or turn off auto-renewal at any time in your Apple ID Account Settings (iOS) or Google Play subscription settings (Android). Deleting the MyCo app does not cancel your subscription.

- Free Trials. If a free trial is offered and you purchase a subscription before the trial ends, any unused portion of the trial will be forfeited.

- Refunds. All refund requests for App Store or Google Play purchases are handled directly by Apple or Google in accordance with their respective refund policies. MyCo does not process direct refunds for these purchases.

- Price Changes. We may adjust subscription pricing from time to time. Any price change will apply from the next billing cycle after we notify you. Continued use after a price change constitutes acceptance of the new price.

7. Termination

- We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or harmful behavior.

- You may delete your MyCo account at any time by following the instructions within the app. Cancelling your subscription does not delete your account, and deleting your account does not cancel active App Store or Google Play subscriptions - you must cancel those separately in your device account settings.

- Upon termination, we will deactivate your account, but certain data may be retained as required by law or for legitimate business purposes (see our Privacy Policy).

8. Third-Party Services

MyCo integrates with third-party services (including Apple, Google, Firebase, and RevenueCat) to provide authentication, payment processing, analytics, and infrastructure. Your use of these services is governed by their respective terms. MyCo is not responsible for the content, privacy practices, or policies of third-party services.

9. Apple App Store Additional Terms

If you download MyCo from the Apple App Store, the following additional terms apply between you and Apple, and are required by Apple's App Store licensing:

- These Terms are between you and MyCo only, and not with Apple. Apple is not responsible for the app or its content.

- Apple has no obligation to provide maintenance or support for the app.

- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you (if applicable). To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the app.

- MyCo (not Apple) is responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance, and consumer protection claims.

- MyCo (not Apple) is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property claim arising from your use of the app.

- You represent that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties.

- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

10. Disclaimers

MyCo is provided "as is" and "as available," without warranties of any kind, either express or implied. We do not guarantee that the app or website will be free from errors, secure, or uninterrupted. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, MyCo (16347088 Canada Inc.) and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the platform, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms shall not exceed the greater of (a) the amount you paid to MyCo in the twelve (12) months preceding the claim, or (b) CAD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless MyCo (16347088 Canada Inc.), its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including intellectual property or privacy rights.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, policies, or legal requirements. We will notify you of significant changes by posting the updated Terms on our website or app and, where appropriate, by email. Continued use of MyCo after such changes constitutes your acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
